Butler County Sports Hall of Fame By-Laws

A PENNSYLVANIA NON-PROFIT CORPORATION

ARTICLE I, DUTIES OF OFFICERS

Section 1

Duties of the Officers shall be as common usage indicates.

Section 2 

The President shall act as Presiding Officer of the Board of Directors.

Section 3

The Vice-President shall act in the absence of the President.

Section 4

The Secretary shall be responsible for keeping accurate records of all of the business of the non-profit corporation. The Secretary shall send proper notice of meetings to all Board Members.  The Secretary shall maintain an attendance register of all Board Members. The Secretary shall have on file a copy of all correspondence of the Butler County Sports Hall of Fame. The Secretary shall take minutes of the board meetings and will distribute them to Board Members.

Section 5

The Treasurer shall be responsible for keeping accurate records of the financial status of the Non-Profit Corporation in accordance with items approved by the Board of Directors. An itemized written report of the preceding year will be presented to the Board of Directors during its first meeting of the succeeding year.  An audit will be conducted annually by an outside source.

ARTICLE II, PROCEDURE FOR INDUCTEE ELECTION

INTO THE BUTLER COUNTY SPORTS HALL OF FAME

Section 1- Eligibility

To qualify for induction into the Butler Couty Sports Hall of Fame, the Nominee must have brought lasting fame and recognition to Butler County for their achievements or contributions in the field of athletics. Also eligible for induction are those individuals who have brought similar recognition to Butler County through their contribution to sports in general, in managerial, promotional or other influential athletic-related activities.

  1. Any person of good moral character shall be eligible for induction regardless of race, creed, color, national origin or gender.
  2. A nominee will not be eligible for consideration until five years have elapsed since their projected high school graduation date.
  1. A Nominee must have resided in Butler County either prior to, at the same time of, or after achieving eligibility status as stated above. 
  1. An individual may not be considered for induction into the Butler County Hall of Fame while serving as a member of the Board of Directors.
  1. Nominations:
  1. Any Board of Director Member may nominate as many persons to be considered for induction, as long as the Nominees meet all eligibility requirements as set forth in these By-Laws.
  1. Potential candidate qualifications must be presented to the Board of Directors for approval before the resume is voted upon.
  1. All nominations must be submitted in writing and on the form provided for such purpose, no later than December 1, prior to the year being considered for induction.
  1. Lifetime Achievement Award:
  1. No more than one (1) Honoree per year.
  1. Any Board Member may nominate any member of the community that they deem fit for this award.
  1. The Lifetime Achievement Award may be given at the discretion of the Board in any given year and shall not be required to be given annually.
  1. The individual nominated by the Board Member must have made significant contributions to the athletic activity in Butler County.
  1. Once a person is nominated by a Board Member, they must receive a majority of the votes cast by Board Members present in order to be selected.
  1. The vote shall be by written ballot.
  2. The person selected for the Lifetime Achievement Award will be recognized at the annual banquet/induction ceremony with an appropriate plaque.
  1. The person nominating a candidate will be responsible for compiling pertinent data about the nominee.
  1. The Honoree shall have the same rights and privileges of all the other inductees.
  1. Team/Program Recognition Award:
  1. The Butler County Sports Hall of Fame may, at its discretion each year, present a Team/Program Recognition Award to a worthy high school, collegiate, semi-professional, or amateur team from Butler County that achieved significant notoriety by its success and accomplishments.
  1. Documentation to support Board consideration for the Team/Program Recognition Award must be presented to a Board Member, who shall perform sufficient inquiry of the team/program to determine the validity of the qualifications before presenting the team/program to the Board for consideration.
  1. Board Members shall have the right to reject any request presented to it by majority vote of the Members present.
  1. When the Board selects a team/program to receive the Team/Program Recognition Award, only one (1) member of the Team/Program shall speak on behalf of the team at the annual banquet and shall receive two complimentary tickets to the banquet. All other Team members and their guests attending the banquet shall pay for their tickets.

Section 2- Voting

  1. Voting for inductees into the Butler County Sports Hall of Fame shall be conducted annually.
  1. All resumes shall be voted on at the same meeting.
  1. No more than (8) persons may be elected to the Butler County Sports Hall of Fame during any year. One of these inductees may be the Lifetime Achievement Award and/or a team/program recognition.
  1. The vote shall be by written ballot.
  1. Breaking a tie for final selections will be discussed and voted upon by all Board Members.
  1. Absentee Voting:
    1. With an approved absence, any Board Member may submit their selections for induction.

ARTICLE III, MEETINGS

Section 1

  1. Meetings of the Board of Directors shall be called by the President whenever they deem it necessary. A written request signed by three (3) members of the Board of Directors is another option for a meeting.
  1. A simple majority vote of the active membership present and voting shall be required to elect an individual as a member of the Board of Directors.
  1. A simple majority of the members of the Board of Directors present and voting shall be required to elect the Officers of the Butler County Sports Hall of Fame at a meeting following the annual banquet/induction ceremony.
  1. Any member who misses (3) consecutive meetings or a yearly total of five (5) meetings will be excused from the Board. Absence due to illness, vacation, or business purposes will be considered as valid reasons for a Board Member’s absence.  The Board Member shall notify the Secretary or another Board Member of their anticipated absence.
  1. The Secretary shall write a letter to any Member who has accumulated three (3) unexcused absences or has missed a yearly total of five (5) meetings, informing the Board Member of this regulation. The Secretary shall request an explanation of the absences with ten (10) days from the date of the letter.
  2. The Board Member’s failure to respond will be considered just cause for removal of the member from the Board of Directors.

ARTICLE IV, QUORUM

Section 1

  1. A quorum for the purpose of conducting any meeting of the Board of Directors shall be one-half (1/2) of the total Board membership.
  1. There shall be no more than twenty-five (25) active members on the Board of Directors.

ARTICLE V, MAJORITY VOTE

Section 1

A simple majority shall be required to pass any motion at any authorized meeting.

ARTICLE VI, AMENDMENTS

Section 1

The active members of this Non-Profit Corporation may, by a majority vote of the total membership of the Board of Directors, alter, amend, suspend or annul any portion of these By-Laws by voting in person at a regular or specially called meeting.

ARTICLE VII, BY-LAWS ADOPTION

Section 1

  1. These By-Laws shall be adopted by majority vote of the active Members present, provided there is a quorum, at a regular or special meeting.

Section 2

  1. These By-Laws shall be in full force and effective immediately upon adoption, as set forth, hereby repealing, revoking and making void all former resolutions in their entirety, at any time heretofore made.
